合同之定义诸说纷杂。一般而言,它是指「在适格当事人之间基于合法之对价而达成的作为或不作为某一行为的协议」,或简而言之,合同乃「法律上可强制执行之协议」。又谓:合同是以引起法律关系为目的的作为或不作为某一行为的协议。在美国,最常被引用的则是《合同法第二次重述》〔Restatement, Second, Contracts〕的定义:「合同乃为一个或一组允诺。违反允诺时,法律则给予救济;或者说允诺的履行,法律在某种情况下视之为一项义务。」在《统一商法典》〔U.C.C. 〕第1-201条第
(11) 项中,合同被定义为「根据本法典的规定而从当事人协议中产生的全部法律义务」。合同有效或具法律强制力,须具备以下要件:1有协议存在,该协议通常以要约〔offer〕与承诺〔acceptance〕的方式达成;2当事人有缔约能力(决定于当事人的年龄、心智状态或身份等);3有缔约的意图,即须以发生法律关系为目的;4当事人之间达成合意〔consensus ad idem〕;5有效的对价〔valuable consideration〕;6合法之目的。在某些情况下,还包括合同的形式。如协议以口头或书面形式表示的,则称为明示合同〔express contract〕;如协议系以推定或演绎之方式而达成,则称为默示合同〔implied contract〕。根据法律独立推定当事人意图而类推为合同关系的,被称为准合同〔quasi-contract〕。另根据不同的标准,合同可作如下分类:1根据合同的形式,分为三种:简单合同〔simple contract〕,契据合同或盖印合同〔specialty contract or contract under seal〕,登录合同〔contract of record〕。简单合同系由两个或两个以上当事人的协议而产生,其中一方将作为或不作为某一特定事务并以他方作为或不作为某一事务为对价。因此,简单合同除了双方当事人意思表示一致〔unity of intention〕外,还有当事人关于作为或不作为的允诺〔promise〕,其中一方的允诺以另一方的允诺为回报,后一允诺的内容即为对价〔consideration〕。简单合同按协议达成的方式可分为明示〔express〕合同和默示〔implied〕合同,按合同形式又可分为书面合同〔contract in writing〕和口头合同〔oral contract〕。盖印合同的法律效力来源于其形式或蜡封、送达行为,而非协议行为,故其与简单合同的重大区别在于对价并非盖印合同有效的必要条件。登录合同实际上并非合同,只是由于交易登录在存卷法院〔courts of record〕的裁判文书上而可得以被强制执行,它们存在于判决、具保文书〔recognisances〕和债务清偿保证书〔statutes staple〕上。这些主要存在于英格兰法律中。2根据合同的性质,还可分为:人身合同〔personal contract〕,它依赖个人的存在、能力、技巧或服务,如婚姻合同、绘画合同,该合同的特点是不可转让,并随该方当事人的死亡而解除;已履行合同〔executed contract〕,即双方当事人的义务俱已履行的合同,与之相对的是待履行合同〔executory contract〕;单一合同〔entire contract〕,其双方当事人的对价都是完整而不可分割的,与之相对的则是可分合同〔severable contract〕。3根据合同的标的,合同可分为买卖合同、代理合同、服务合同、保险合同、担保合同等。4根据合同的效力层次,可分为无效合同〔void contract〕,它不能产生合法的权利和义务,如实施某一犯罪的合同;可撤销合同〔voidable contract〕,它可因一方当事人行使选择权而被撤销,如因受虚假陈述〔misrepresentation〕诱使而签订的合同;不能强制执行的合同〔unenforceable contract〕,这类合同本是有效合同,只因缺乏制定法所规定的书面证据而不能被强制执行。
